注册资本 Registered Capital

低3万挪威克朗。如股东公司或大陆公司业务开展较大，建议开户时注册资本多一些，有利于开户银行反洗钱问询流程，也有利于后期公司直接运营。

Minimum NOK 30,000.

If the shareholder company or mainland enterprise has a large scale of business, it is recommended to increase the registered capital when opening a bank account. This facilitates the bank’s anti-money laundering review and supports later company operations.

股东 Shareholders

① 股东如果为公司时，需要提供清晰的注册证书、股权结构图和确认签字权人。

② 股东公司为个人时，需要提供清晰的身份地址证明文件。

③ 请注意，股东和终受益人的证件均需要办理海牙认证。

If the shareholder is a corporate entity, a clear equity structure diagram and an authorized signatory confirmation are re the shareholder company and the ultimate beneficial owner must complete an Apostille certification.

董事 Directors

① 董事有多人的情况下，须有50%人员有欧洲居住地址。

② 如果您不符合上述条件，我们可为您提供挪威代理董事。

③ 中国籍董事需要办理海牙认证和申请D-Number。

If there are multiple directors, at least 50% of them must have a European residential address.

We can provide a Norwegian resident director.Chinese national directors must obtain an Apostille certification and apply for a D‑Number.

总 Manager

总经理并非必设的岗位，如设立总经理，须有挪威居住地址。

Must have a Norwegian residential address. This position is optional.

设立时间和流程Timeline & Procedure

正常开户完成，材料提交之后3-5个月左右完成设立（可能会超过5个月哦）

Normally 3–5 months after submission of all documents and completion of bank account opening (may take longer than 5 months).

增值税注册 VAT Registration（25%）

① 如公司年营业额超过五万克朗，公司需要做增值税注册并申报缴纳增值税。

② 进口到挪威的需要交25%进口税，货物卖出去之后可以操作返回25%的税。

VAT registration and filing are required if the annual turnover exceeds NOK 50,000.A 25% import duty applies to goods imported into Norway; the 25% tax can be reclaimed upon resale.

Registration Procedures

挪威公司注册流程

01 查名 Name Check

第一步我们需要确认公司名称，预查名后准备注册文件，我们会将注册文件和签字指示一起给到您安排签署。

Confirm the company name (with preliminary name check) and prepare registration documents.

02 开户 Account Opening

第二步，公司需要办理临时股本账户，同时为中国籍董事申请D-Number（我们可以协助开户：挪威银行，丹麦银行，瑞典银行。）

Open a temporary share capital account, and apply for a D‑Number for Chinese directors at the same time.We can assist with account opening at Norwegian banks, Danish banks and Swedish banks.

03 注资 Capital Injection

第三步，股东注入公司注册资本金。注册资本金低3万挪威克朗。注资完成后，银行会出具股本确认。

The shareholder(s) inject the registered capital (minimum NOK 30,000).

After capital injection is completed, the bank will issue a share capital confirmation.

04 提交 Registration

第四步，我们会安排提交注册签署文件，您可以等待注册完成。注册完成后，我们会提供电子版公司文件给您，原件将在快递到达后寄送给您。

Submit signed registration documents.

Company registration is completed (we provide electronic versions of corporate documents).

05 账户 Account

第五步，公司注册完成后，临时股本账户自动转为公司正式账户使用。

The temporary share capital account will be automatically converted into the official company bank account.
